1. Our Principles

These terms are designed to be fair, transparent, and respectful of your rights. We believe legal documents shouldn't require a law degree to understand, so we've written them in plain English while keeping them legally substantive.

Because consumer law varies by country, some of your rights depend on where you live. The shared terms in Sections 1–13 apply to everyone; the region-specific terms in Section 14 set out what changes for buyers in the United States, the European Union / EEA, and the United Kingdom.

2. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and Pulsyn Inc. ("Pulsyn", "we", "us", or "our"), a Delaware corporation with its registered office at 701 Tillery Street, Unit 12-3559, Austin, TX 78702, United States.

By accessing the Pulsyn website (pulsyn.tech), placing a pre-order, creating an account, or using any Pulsyn products or services (including the Pulsyn app), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use our services. We may update these Terms from time to time as described in Section 13; material changes will be communicated by email and reflected in the "Last updated" date above.

3. Pre-Order Terms

The Rune 1 smart ring is currently available for pre-order. By placing a pre-order, you acknowledge and agree to the following.

Estimated Delivery

• The estimated ship date is Q3 2026. This is an estimate, not a guarantee, and may change due to manufacturing, supply-chain, or regulatory factors.
• We will keep you informed of any material change to the estimated ship date by email.
• Pre-orders are fulfilled in the order they were received.
• If we cannot ship by the stated date (or, where no date is stated, within 30 days of your order), you may cancel for a full refund. United States customers: this reflects the U.S. Federal Trade Commission Mail, Internet, or Telephone Order Merchandise Rule. EU/EEA and UK customers have additional statutory cancellation rights described in Section 14.

Cancellation Before Shipment

• You may cancel your pre-order at any time before it ships, for any reason.
• Cancellations receive a full refund to your original payment method, typically within 5–10 business days.
• To cancel, email support@pulsyn.tech with your order number.

Payment Terms

• The full purchase price of $200 USD is authorized and charged at the time you place your pre-order, processed securely through Stripe. We never store your full card number.
• All prices are listed in US Dollars (USD) and do not include applicable sales tax, VAT, customs duties, or import fees, which are the responsibility of the buyer and determined by your local jurisdiction.
• The price shown at checkout is the price you will pay.
• Failed or reversed payments: if a charge fails, is declined, or is later reversed, we may place your order on hold and contact you to resolve it. We may cancel an order if payment cannot be completed.

Specifications May Change

As the Rune 1 is in active development, final specifications, features, and design may differ from pre-order descriptions. We will communicate any material change by email. If a change materially affects the product's core functionality, you may cancel for a full refund.

Features and specifications are subject to refinement during development. We strive to deliver on all described capabilities and will transparently communicate any changes.

5. Shipping, Returns & Warranty

Shipping timelines and regional availability are detailed in our Shipping Policy. Returns, refunds, and the hardware warranty for the Rune 1 are detailed in our Warranty & Returns Policy. By placing an order, you agree to the terms of those policies, which form part of this agreement.

In brief: we ship worldwide; pre-order shipments begin Q3 2026; you can cancel before shipment for a full refund; and after delivery you have a return window and a limited hardware warranty. The exact warranty period, return window, and the statutory rights that apply on top of them depend on your region — see the Warranty & Returns Policy and Section 14 below.

6. Software & App Licence; Hardware Ownership

Software Licence

The Pulsyn app and any firmware on the Rune 1 ring are licensed, not sold, to you. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Pulsyn app and ring firmware solely for your personal, non-commercial use in connection with your Rune 1.

Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the software (except to the extent this restriction is prohibited by applicable law)
• Modify, adapt, or create derivative works
• Distribute, sublicense, or transfer the software to others
• Use the software for commercial purposes without our written consent
• Circumvent any security or access controls

Hardware Ownership & Acceptable Use

Once your order ships and is paid for, you own the Rune 1 hardware. You agree to use it for its intended personal wellness purpose, in line with the product documentation, and not to use it in any unlawful way or in a manner that could harm yourself or others. The embedded firmware remains licensed under this Section 6.

Updates & Open Source

The app and firmware may update automatically; updates may add, modify, or remove features. The Pulsyn app may include open-source components governed by their own licences, listed in the app's settings. Our use of open-source software does not grant you additional rights to our proprietary code.

7. Subscription Terms (Pulsyn Pro)

All core health tracking features — heart rate, HRV, SpO2, temperature, sleep, activity, on-device AI insights, and data export — are free, with no mandatory subscription.

The optional Pulsyn Pro subscription unlocks the cloud-enhanced AI health agent, deeper analytics, and encrypted cross-device sync.

• Pro is billed on a recurring basis through the relevant app store or payment processor at the price shown when you subscribe.
• You can cancel anytime from the app settings; cancellation takes effect at the end of the current billing period.
• Except where required by law (including the regional rights in Section 14), we do not provide refunds for partial billing periods.
• After cancellation, you keep access to all free features.

8. User Accounts & Conduct

Account Creation

• You must be at least 16 years old (or the minimum digital-consent age in your country) to create an account.
• You must provide accurate information during registration.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately of any unauthorized access.

Prohibited Conduct

You agree not to:

• Use our services for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Impersonate others or misrepresent your affiliation
• Use automated systems to access our services without permission
• Violate any applicable laws or regulations

Suspension & Termination

We may suspend or terminate your account if you materially violate these Terms, after notice where reasonably practicable. You may delete your account at any time from the app settings; associated data is handled as described in our Privacy Policy. Termination does not affect your statutory rights or any accrued rights and obligations.

9. Health Disclaimer

Intended Use

The Rune 1 helps you understand trends in your health and wellness over time. It provides data and insights that may support a healthy lifestyle, but it is not intended to diagnose, treat, cure, or prevent any disease or health condition, and it makes no clinical claims.

AI Insights

Health insights generated by our on-device or cloud AI are informational only. They are not medical advice and are not a substitute for professional medical judgment. Always consult a qualified healthcare provider for medical decisions.

Limitations & Emergencies

• Sensor readings may vary based on fit, skin type, movement, and environment.
• The ring cannot detect all health conditions or emergencies, and accuracy may differ from clinical-grade devices.
• Do not rely on the Rune 1 for critical health monitoring.

In a medical emergency, call your local emergency services immediately. Do not rely on the Rune 1 or the Pulsyn app to detect or respond to emergencies.

10. Data & Privacy

Your privacy is fundamental to how we built Pulsyn. By default, your health data is processed on your device; it only leaves your phone if you deliberately enable Pulsyn Pro cloud sync or use cloud AI, in which case it is encrypted in transit and at rest.

Exactly what we collect, the legal bases we rely on, how cloud sync encryption actually works, and your data rights are all set out in full in our Privacy Policy, which forms part of this agreement. Where these Terms and the Privacy Policy address the same topic, the Privacy Policy governs for data-protection matters.

11. Intellectual Property

All content on the Pulsyn website and app — including text, graphics, logos, images, software, firmware, and the "Pulsyn" and "Rune 1" brand names — is owned by Pulsyn and protected by applicable intellectual property laws. Pulsyn retains all right, title, and interest in its intellectual property; nothing in these Terms transfers any IP ownership to you.

Trademarks & Limited Use

"Pulsyn", "Rune 1", and associated logos are trademarks of Pulsyn and may not be used without our prior written consent. You may not reproduce, distribute, modify, or create derivative works from any Pulsyn content without our prior written consent. Personal, non-commercial use of our website for informational purposes is permitted.

12. Limitation of Liability & General Provisions

Limitation of Liability

To the maximum extent permitted by applicable law, Pulsyn's total liability for any claim arising from these Terms, your use of our products, or our services is limited to the amount you paid for the product. Pulsyn shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any non-excludable statutory liability. Consumers in the EU/EEA, UK, and Australia have mandatory rights that these limitations do not affect — see Section 14.

Indemnification

You agree to indemnify and hold harmless Pulsyn and its officers, directors, employees, and agents from claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of our products or services, or your violation of any law or third-party right. This does not apply to the extent a loss is caused by us, and it does not override your non-excludable consumer rights.

Force Majeure

Pulsyn is not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, supply-chain disruptions, component shortages, labor disputes, government actions, or infrastructure failures.

Severability, Assignment & Waiver

If any provision of these Terms is found invalid or unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in full force. You may not assign your rights under these Terms without our written consent; Pulsyn may assign these Terms to an affiliate or successor in a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver of it.

Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Warranty & Returns Policy, constitute the entire agreement between you and Pulsyn regarding our products and services, superseding any prior agreements. Section headings are for convenience only and have no legal effect.

13. Changes to These Terms

We may modify these Terms from time to time. Material changes will be notified to you by email at least 30 days before they take effect (where we have your email); minor changes will be reflected in the "Last updated" date at the top of this page.

If you disagree with material changes, you may cancel any pending orders or close your account before the changes take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

14. Region-Specific Terms

14.1 — United States (and Rest of World default)

This section applies if you are resident in the United States. It is also the default for buyers outside the EU/EEA, the UK, and any other country whose mandatory law provides otherwise.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and (for arbitrable disputes) the U.S. Federal Arbitration Act.

Binding Arbitration & Class-Action Waiver

Please read this carefully — it affects how disputes are resolved. Except as noted below, any dispute that cannot be resolved informally will be resolved by binding individual arbitration, not in court, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Class-action waiver: claims must be brought individually, not as a plaintiff or class member in any class, consolidated, or representative action.
• Jury-trial waiver: you and Pulsyn waive the right to a jury trial for arbitrable disputes.
• Small-claims exception: either party may bring a qualifying claim in small-claims court instead.
• Injunctive relief: either party may seek injunctive relief in court for intellectual-property disputes.
• State-law carve-out: where applicable state law makes any part of this arbitration or class-waiver provision unenforceable, that part does not apply to you, and the remainder continues in effect.

Warranties & Liability

To the extent permitted by law, the Rune 1 is provided with the limited warranty described in our Warranty & Returns Policy, and implied warranties (such as merchantability and fitness for a particular purpose) are limited to the duration of that written warranty. Some states do not allow such limitations, so they may not apply to you; this does not affect your rights under the Magnuson-Moss Warranty Act. Our liability is capped as set out in Section 12.

14.2 — European Union & EEA

This section applies if you are a consumer resident in the European Union or the wider European Economic Area. Your mandatory statutory rights cannot be waived, and the arbitration and class-action waiver in Section 14.1 do not apply to you.

14-Day Right of Withdrawal (Cooling-Off)

Under the EU Consumer Rights Directive (2011/83/EU), for distance (online) purchases you have the right to withdraw from your purchase within 14 days without giving a reason. The period generally runs from the day you (or someone you nominate) receive the goods; for a pre-order, it runs from delivery, not from when you ordered. To exercise it, tell us before the 14 days expire by emailing support@pulsyn.tech; we will refund you, including standard delivery, within 14 days of being notified (we may withhold the refund until we receive the returned goods or proof of return). You can of course also cancel a pre-order any time before it ships.

Statutory Conformity Guarantee

Goods sold to EU consumers come with a legal guarantee of conformity under Directive (EU) 2019/771. This is a non-waivable statutory right, separate from and in addition to any commercial warranty we offer. Full details are in our Warranty & Returns Policy.

Governing Law, Courts & ODR

• As a consumer, you benefit from the mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of residence.
• Limitation-of-liability and other contractual terms apply only to the extent they do not remove mandatory consumer protections.
• The European Commission provides an Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr, which you may use to resolve disputes out of court.

14.3 — United Kingdom

This section applies if you are a consumer resident in the United Kingdom. Your statutory rights cannot be waived, and the arbitration and class-action waiver in Section 14.1 do not apply to you.

• Consumer Rights Act 2015: the Rune 1 must be of satisfactory quality, fit for purpose, and as described. These statutory rights apply on top of any commercial warranty and cannot be excluded.
• 14-day cancellation: under the Consumer Contracts Regulations 2013, you have 14 days from delivery to cancel an online purchase for a refund. You can also cancel a pre-order any time before it ships.
• Governing law & courts: these Terms are governed by the laws of England and Wales, and disputes may be brought in the courts of England and Wales, without affecting your statutory rights or your ability to rely on the mandatory law of your home nation within the UK.

14.4 — Australia & Canada

Australia: our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. Nothing in these Terms excludes, restricts, or modifies those non-excludable guarantees.

Canada: where provincial consumer-protection legislation applies, your statutory rights (including any restrictions on mandatory arbitration or class-action waivers in certain provinces) take precedence over any conflicting term in these Terms, and we honor them.
